01General Information

This Universal Terms of Use Agreement (hereinafter the “Agreement”) is entered into between TeleHost, Inc. (hereinafter “TeleHost”), a Delaware corporation, and you (hereinafter “User,” “you,” “your,” or “customer”) and becomes effective upon use of this website or purchase of any service.

This Agreement sets the general terms and conditions for your use of the Site and the products and/or services purchased or accessed through this Site (individually and collectively, the “Services”), and is in addition to (not in lieu of) any other terms and conditions documents that apply to particular Services.

Whether you are simply browsing or using this Site or purchasing Services, your use of this Site and your electronic acceptance of this Agreement means that you have read, understand, acknowledge and agree to be bound by this Agreement, together with the following policies, including the Privacy Policy and applicable product agreements, which are incorporated herein by reference.

TeleHost, Inc. may, in its sole and absolute discretion, change or modify this Agreement, and any policy or agreement incorporated herein, at any time, and such changes or modifications will become effective immediately upon posting on this Site.

02Eligibility or Authority

This Site and the Services are available only to Users who can form legally binding contracts under applicable law. By using this Site or the Services, you represent and warrant that:

• You are at least eighteen (18) years of age
• You are otherwise recognized as capable of forming legally binding contracts under applicable law
• If you are entering into this Agreement on behalf of a corporate entity, you represent and warrant that you have the legal authority to bind such corporate entity to the terms and conditions contained in this Agreement

If, after electronic acceptance of this Agreement, TeleHost discovers that you lack the legal authority to bind such corporate entity, you will be personally liable for the obligations contained in this Agreement, including, without limitation, payment obligations.

03Accounts, Cross-Border Data Transfers

To access some features of this Site or use some of the Services, you will need to create an Account. You represent and warrant to TeleHost that all information you submit when creating your Account is accurate, current and complete, and that you will keep your Account information accurate, current and complete.

You are solely responsible for activity that occurs on your Account, whether authorized by you or not, and must keep your Account information secure, including, without limitation, your customer/login number, password and Payment Method(s).

For security reasons, TeleHost recommends that you change your password at least once every six (6) months for each Account.

Cross-Border Data Transfer

If you visit this Site from a country other than the country where our servers are located, your communications with us may involve the transfer of information (including your Account information) across international borders.

04Website / Service Availability

Subject to the terms and conditions of this Agreement and our other policies and procedures, we will make commercially reasonable efforts to try to provide this Site and the Services twenty-four (24) hours a day, seven (7) days a week.

You acknowledge and agree that from time to time this Site may be inaccessible or inoperable for any reason, including, without limitation:

• Equipment malfunction
• Periodic maintenance, repairs or replacements we perform from time to time
• Causes beyond our reasonable control or that are not reasonably foreseeable
• Interruption or failure of telecommunications or digital transmission links
• Hostile network attacks, network congestion or other failures

05Payment and Billing Information

TeleHost offers multiple payment methods including credit cards, bank transfers, cryptocurrencies and other digital payment methods.

Payments are processed securely and all funds are held in separate accounts to help ensure customer security.

Cryptocurrencies: TeleHost offers a variety of cryptocurrency, token and digital-asset payment options through a Cryptocurrency Payment Provider (CPP).

06Successors and Assigns

This Agreement will be binding upon and inure to the benefit of the parties and their respective heirs, successors and assigns.

07No Third-Party Beneficiaries

Nothing in this Agreement will be deemed to grant any third-party rights or benefits.

08Compliance with Local Laws

TeleHost does not represent or warrant that content available on this Site or the Services found on this Site are appropriate in every country or jurisdiction, nor that access to this Site or the Services from countries or jurisdictions where such content is illegal or prohibited is permitted.

Users who choose to access this Site or the Services found on this Site are responsible for compliance with all local laws, rules and regulations.

09Titles and Headings; Independent Covenants; Severability

The titles and headings of this Agreement are for convenience and ease of reference only and will not be used in any way to construe or interpret the parties’ agreement other than as set forth herein.

Each covenant and agreement in this Agreement will be construed for all purposes as a separate and independent covenant or agreement.
